Statement of the type of external auditor's report Unmodified conclusion
Comment mentioned in the external auditor’s report, mentioned in any of the following paragraphs (other matter, conservation, notice, disclaimer of opinion, or adverse opinion) We draw attention to Note 1 of the interim condensed consolidated financial statements, which indicates that the Group incurred a net loss of SR 203 million (30 June 2025: SR 216 million) and reported a net operating cashflow deficit of SR 150 million during the six-month period ended 30 June 2026 (30 June 2025: SR 174 million). Moreover, the current liabilities exceeded the current assets by SR 457 million as of 30 June 2026 (31 December 2025: current assets exceeded the current liabilities by SR 134 million). The Group’s ability to achieve sustainable profitability and continue its operations without significant curtailment is highly dependent on the successful execution of management’s plans, including obtaining additional funding from shareholders and the sale of properties to generate sufficient cash flows. These events or conditions, along with other matters as set forth in Note 1, indicate that a material uncertainty exists that may cast significant doubt on the Group's ability to continue as a going concern. Our conclusion is not modified in respect of this matter.

The consolidated financial statements for the year ended 31 December 2025 and the interim condensed consolidated financial statements for the three-month and six-month periods ended 30 June 2025 were respectively audited and reviewed by another auditor who expressed an unmodified audit opinion and review conclusion on 8 April 2026 (corresponding to 20 Shawal 1447H) and 18 August 2025 (corresponding to 24 Safar 1447H), respectively.

Reclassification of Comparison Items N/A
Additional Information On 22 June 2025, a fire incident occurred at a project owned by a Fund over which the Group has significant influence. The incident was considered an adjusting event for the period ended 30 June 2025. However, as at 30 June 2025 and throughout the subsequent periods up to 31 March 2026, management did not have sufficient information to reliably estimate the extent of the loss arising from the damage to the project.

During quarter ended 30 June 2026, management completed its assessment of the damage and obtained sufficient information to reliably estimate the resulting loss as a result of fire incident. Accordingly, management has restated the comparative income statement for the quarter and six-month period ended 30 June 2025 to reflect the impact of estimated loss.

The project was fully insured, and the related insurance claim is currently at an advanced stage.
