Disclosure of Material Information – Completion of the Establishment of U.S. Subsidiaries

Al Jazeera Steel Products Co. SAOG (“the Company”) would like to inform the Muscat Stock Exchange, its shareholders, and the investing public that, further to its previous disclosure on 15 February 2026 regarding the Board of Directors’ approval to establish two wholly owned subsidiaries in the United States of America, the incorporation and legal establishment of both entities have now been successfully completed as follows:

1. U.S. Holding Company - Jazz Steel Holding Inc.: Incorporated as a Corporation in the United States, with registration number 806759338, wholly owned by Al Jazeera Steel Products Co. SAOG, with an initial capital of USD 2 million.
2. U.S. Operating Company - Jazz Steel Products LLC: Incorporated as a Limited Liability Company (LLC) in the United States, with registration number 806760605, wholly owned by the U.S. Holding Company - Jazz Steel Holding Inc., with a capital of USD 1.5 million.

The establishment of these entities is intended to support and facilitate the Company’s international operations and ongoing business activities in the United States.
