Al-Razi Medical Company is pleased to announce the Board of Directors' resolution issued on 27/03/1448 AH, corresponding to 09/09/2026 AD, which includes the following decisions:

First: Appointing Dr. Yousef Abdullah Yousef Al-Arini as Chairman of the Board (Non-Executive)

Second: Appointing Dr. Reham Yousef Abdullah Al-Arini as Vice Chairman of the Board (Non-Executive)

Third: Forming the Remuneration and Nominations Committee from the following members:

Sheikh Abdulrahman Mohammed Abdullah Al-Suhaibani (Independent Board Member)

Mr. Mohammed Abdullah Habib Al-Habib (Independent Member from outside the Board)

Dr. Reham Yousef Abdullah Al-Arini (Non-Executive Board Member)

Fourth: Appointing a Secretary to the Board. In addition, Al-Razi Medical Company's representatives to the Capital Market Authority and the Saudi Stock Exchange (Tadawul) were appointed for all purposes related to the Capital Market Law, the Companies Law and its Implementing Regulations, other relevant regulations, and the rules governing the offering of securities and ongoing obligations.

The Board of Directors also formed the Audit Committee for the new term, and its formation will be announced separately in accordance with regulatory disclosure requirements.
