Riyadh — Mubasher: Dar Almarkabah for Renting Cars Company (DS Rent) has issued an addendum announcement to its shareholders regarding the upcoming Extraordinary General Meeting (EGM) scheduled for November 2026.
The update provides essential documentation concerning proposed amendments to the company’s Bylaws, specifically Article Six, which governs the firm's capital structure.
This disclosure follows a previous announcement made on 20 October 2026 and serves to clarify the mechanical details of a proposed share consolidation process intended to increase the nominal value of the company's shares.
The primary purpose of the addendum is to provide shareholders with a comprehensive comparison of the company’s Bylaws before and after the proposed modifications.
According to the filing on the Saudi Exchange (Tadawul), the board of directors is seeking shareholder approval to consolidate the company’s shares.
This corporate action will result in a significant change to the nominal value and the total number of outstanding shares, although the total issued capital will remain unaffected.
Under the current structure, the issued capital stands at SAR 25 million, divided into 50 million nominal shares with a par value of SAR 0.50 per share.
The proposed amendment to Article Six of the Bylaws seeks to consolidate these shares at a ratio that will increase the nominal value to SAR 10 per share. Consequently, the total number of outstanding shares will be reduced to 2.50 million.
The total paid-up capital will remain constant at SAR 25 million throughout this transition.
